Are you a lawyer serving on the board of a client charity/NFP?  Whether you are paid counsel or your firm has been retained, serving on the client board raises ethical questions that should make you proceed with caution.  Is it necessarily a conflict of interest to act as both paid counsel and a board member?  In which situations would it not be a conflict?  In which situations should a board have separate representation?  How can you ensure that the possibility of this type of conflict does not severely limit your work?
