Cette table ronde examinera le cadre réglementaire canadien actuel applicable aux activités liées aux crypto-actifs, en mettant l'accent sur les seuils juridiques qui déclenchent l'application de la réglementation sur les valeurs mobilières par opposition à d'autres régimes réglementaires. En s'appuyant sur des mesures coercitives et des initiatives de surveillance récentes, les intervenants discuteront de la manière dont les régulateurs et les praticiens interprètent et appliquent les règles existantes dans la pratique. La discussion portera sur les principaux enjeux réglementaires dans le contexte des opérations d’entreprise, notamment les levées de fonds, les fusions et acquisitions, les enregistrements et les partenariats stratégiques, y compris la diligence raisonnable, la structuration des opérations et le risque de non-conformité continu. La table ronde passera également en revue les récentes évolutions réglementaires au Canada et dans certaines juridictions étrangères, identifiera les domaines où l’incertitude persiste et mettra en évidence les questions pratiques qui restent en suspens pour les conseillers juridiques accompagnant les entreprises du secteur des crypto-actifs opérant au Canada ou à partir de ce pays.

This panel will examine the current Canadian regulatory framework applicable to crypto-asset activities, with a focus on the legal thresholds that trigger securities regulation as opposed to other regulatory regimes. Drawing on recent enforcement actions and supervisory initiatives, panellists will discuss how regulators and practitioners are interpreting and applying existing rules in practice. The discussion will address key regulatory considerations in the context of corporate transactions, including financing, mergers and acquisitions, and registrations, and strategic partnerships, including due diligence, deal structuring, and ongoing compliance risk. The panel will also review recent regulatory developments in Canada and select foreign jurisdictions, identify areas of continuing uncertainty, and highlight practical issues that remain unresolved for counsel advising crypto-asset businesses operating in or from Canada.
Panelists :
Mada Liyous is General Counsel at Shakepay, a Canadian financial technology company building bitcoin financial services. Since joining Shakepay in 2021, she has helped build its legal function from the ground up and has worked alongside the business through some of its biggest regulatory milestones, from becoming a restricted dealer to its subsequent registration as an investment dealer. Today, she leads Shakepay’s legal, regulatory and compliance functions, working at the intersection of law, regulation and a fast-moving industry.
Toufic Adlouni is Co-Founder and Managing Director of Renno & Co LLP, a Canadian law firm focused on emerging technology and digital asset law. He advises high-growth technology and blockchain companies on regulatory compliance, corporate transactions, and capital raising, with deep expertise in the legal issues affecting the Canadian digital asset and blockchain market. Toufic combines his regulatory insight with hands-on experience supporting startups and has spoken internationally on blockchain and Web3 legal developments.
Jeff Kehoe is a seasoned legal and regulatory professional with more than 25 years of experience in financial services regulation and enforcement. He served as Director of Enforcement at the Ontario Securities Commission (OSC), where he led one of Canada’s largest securities enforcement programs, transforming it into a data-driven, agile organization and implementing initiatives such as Canada’s first paid whistleblower program. Before the OSC, he was Vice President and Director of Enforcement at the Investment Industry Regulatory Organization of Canada (now the Canadian Investment Regulatory Organization) and earlier held roles as a Crown Attorney and Senior Litigation Counsel at the Department of Justice Canada. He has overseen major enforcement cases and regulatory strategy, bringing deep expertise in securities litigation, compliance, and enforcement trends to the panel. Jeff is currently acting as Interim Executive Vice President, Legal & Enforcement, at the Financial Services Regulatory Authority of Ontario.
Moderator:
Noah Billick is a partner at Renno & Co LLP, where he advises financial institutions, fintech and crypto-asset businesses on securities regulation, registration, compliance, and regulatory risk. He is a former General Counsel and Chief Compliance Officer, with over a decade of in-house experience, and has been recognized as an expert in regulatory compliance by the Superior Court of Québec. Noah regularly acts for clients before Canadian securities regulators and advises on regulatory issues arising in registrations, financings, transactions, and enforcement matters involving emerging financial products.
