Effective due diligence allows dealmakers to identify issues early in the transaction. This session will explore the concepts underlying due diligence and the key steps in the process. Experienced practitioners will focus on the practical execution of due diligence by taking an in-depth look at minute book reviews, material contract reviews and searches in the context of a corporate deal.

Topics will include:

  • Professionalism considerations during the due diligence process, including best practices to minimize the risk of professional liability
