Non-Profit Board Essentials Roundtable: Roles, Duties, and Risk

Presented by the CBA Alberta Young Lawyers (South) & Charities Law (Provincial) Section

On Demand. Originally presented on Apr. 10, 2026.

Serving on a non-profit board carries real responsibility. Directors are stewards of mission, reputation, and resources. This roundtable is designed to clarify what that responsibility actually entails,  and how to discharge it effectively.

In a facilitated, discussion-based format, participants will examine:

  • The legal and fiduciary duties of directors (duty of care, duty of loyalty, and duty of obedience)
  • The distinction between governance and management
  • Financial oversight and understanding risk exposure
  • Conflicts of interest and decision-making discipline
  • Practical steps to reduce liability while strengthening board performance

This is not a lecture. It is a structured conversation among current and prospective directors who want a clearer understanding of expectations and practical tools for responsible governance.

Ideal for:

  • First-time directors
  • Experienced board members seeking a refresher
  • Executive directors working closely with boards
  • Professionals considering joining a non-profit board

Participants will leave with a more precise understanding of their role, the risks inherent in board service, and the habits that distinguish effective boards from dysfunctional ones.
