Canadian law on the personal, non-statutory liability of directors and officers is widely viewed as uncertain and inconsistent. Directors and officers are often named personally in tort claims alongside corporations, frequently for tactical reasons, despite unclear legal principles governing when personal liability should arise.

In this session, John Smith, Lawson Lundell, will discuss BCLI Report on Non-Statutory Liability of Directors and Officers, which was released in March 2026. The report examines divergent lines of Canadian case law, the practical consequences for corporate governance and litigation, and the knock-on effects for D&O insurance. Drawing on comparative research from other common-law jurisdictions, the report proposes a clearer, principled framework to determine when directors and officers should (and should not) be personally liable.
