Trade secrets and other confidential information are critical components of many franchise system. From recipes, to proprietary know-how and strategies, to customer lists and pricing, franchisors and franchisees benefit from the careful use and protection of confidential information. The improper use of such information by an outgoing franchisee, competing brand, or other third party can cause substantial harm to a franchise system as a whole. Our experienced panellists will discuss strategies for identifying, sharing, protecting, and enforcing confidential information, including:

  • Identifying and managing a franchise systems’ trade secrets and other confidential information, and understanding the scope of protection;
  • Drafting and reviewing confidentiality clauses and agreements from the perspectives of franchisors and franchisees and other owners and recipients of confidential information;
  • Causes of action, defences, remedies, and practical strategies for enforcing confidential information, including the use of Anton Pillar orders, protective agreements, and confidentiality/sealing orders.
