The following session is the second session in a series of sessions hosted by the Young Lawyers Committee addressing the coordination and planning competition lawyers must do on competition issues to ensure a successful merger or joint venture transaction.

In this session, we will discuss the competition and foreign investment lawyer's role in reviewing and suggesting language for the transaction agreement. During this session we will address what vendor-friendly and purchaser-friendly competition and foreign investment provisions look like in transaction agreements, what is considered "market", when to include risk-shifting provisions, and how to structure these provisions.
