Understanding Prospectus Exemptions for Non-Securities Lawyers

National Instrument 45-106 allows businesses in Alberta to raise capital without a full prospectus by using exemptions like the Private Issuer, Accredited Investor, and Family, Friends & Business Associates exemptions. These rules help early-stage companies sell securities to a variety of different investors. Knowing how each exemption works is essential for lawyers advising startups and private issuers in Canada.
