Recent changes to corporate transparency laws are reshaping the professional obligations of lawyers advising on corporate ownership and beneficial ownership structures in Nova Scotia. Join the Wills, Estates & Trusts Section and the Business Law Section for a practical Lunch & Learn on Individuals with Significant Control (ISC) Registers and what these new requirements mean for practitioners.
This session will explore the legislative framework governing ISC registers in Nova Scotia and the growing focus on identifying beneficial ownership.
Robert Cowan, Partner at McInnes Cooper, will provide an overview of the corporate law requirements for identifying and recording individuals with significant control. He will discuss what constitutes “significant control,” how corporations must maintain and update their registers, and the practical compliance obligations facing companies and their advisors.
Dr. Megan Ross, Founder of Ross Estate Law, will examine the trust and estates implications of beneficial ownership disclosure. Her presentation will focus on the recent decision in Magren Holdings Ltd v. Canada (2024), and what the case may signal for ISC registration and the treatment of beneficial ownership structures involving trusts in Nova Scotia.
Together, the presenters will provide a cross-disciplinary look at how ISC transparency rules intersect with both corporate governance and estate planning structures. This session will be particularly relevant for lawyers advising closely held corporations, family businesses, and trusts.
Join colleagues from both sections for a practical discussion of this evolving area of law.
