Restrictive covenants are an important tool to protect the integrity of franchise systems in Canada. They protect the competitive landscape of a franchise system, intellectual property owned and licensed by the franchisor as well as other unique elements of the franchised business. However, the enforceability of restrictive covenants in the franchise context depends on the scope of the provision itself and the actual business interests of the franchisor.
Join us to hear the latest developments regarding the enforceability of restrictive covenants from both the franchisor and franchisee perspectives. The session will also address considerations to promote enforceability of restrictive covenants at the time of drafting the franchise agreement.
