Securities laws have an impact on not only public entities but also private entities, particularly in the context of raising capital and the issuance of securities, encompassing debt, equity, options, and other such instruments. As such, it is crucial for business lawyers to remain cognizant of these laws and their implications. This informative session will be a high-level overview of capital markets in Canada with a focus on Ontario. Though not national, many provincial and territorial laws are harmonized in Canada. The session will cover a broad range of topics and review recent significant developments as modernization is a large focus in today’s environment:
- Recommendations of the Ontario Capital Markets Modernization Taskforce released in January 2021.
- The division of the administrative and regulatory functions at the OSC with the creation of a new Capital Markets Tribunal and the separation of the CEO and Chair positions.
- New Self-Regulatory Organization of Canada that resulted from the merger of the IIROC and MFDA with new regulations being phased in.
- SEDAR+ and an update on its status as a replacement for certain filing methods.
