Canada’s new regime for the mandatory disclosure of a wide variety of business transactions came into force on June 22, 2023. The requirements contained in sections 237.3 and 237.4 of the Income Tax Act substantially expand the types of business transactions which must be reported to the Canada Revenue Agency by extending the scope of Canada’s reportable transaction rules as well as creating a new category of notifiable transactions. Perhaps as important, a number of persons are required to make their own separate disclosure in relation to a transaction, including not just the taxpayer but also an advisor or promoter to the client, including lawyers.
